Official Giveaway Rules

1. ELIGIBILITY

The Sweetgrass 1/8 Ownership Giveaway ("Giveaway") is open to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is older, at the time of entry. Employees, officers, and directors of Sweetgrass LLC ("Sponsor"), its affiliates, subsidiaries, advertising and promotion agencies, and immediate family members are not eligible.

2. GIVEAWAY PERIOD

The Giveaway begins at 12:00:00 AM Eastern Time ("ET") on October 6, 2025 and ends at 11:59:59 PM ET on December 31, 2025 (the "Giveaway Period"). Sponsor's computer is the official time-keeping device for the Giveaway.

3. HOW TO ENTER

Method 1: Purchase Entry (Automatic Entry)

  • Classic Dad Hat ($35): 35 entries
  • 20oz Insulated Tumbler ($40): 40 entries
  • Luxury Beach Towel ($45): 45 entries
  • Premium Duffel Bag ($150): 150 entries
  • Founder's Bundle ($200): 250 entries

Method 2: Free Alternative Method of Entry (AMOE)

To enter without making a purchase, send an email to: giveaway@sweetgrass.com with the subject line "FREE ENTRY REQUEST" and include the following information in the body of the email:

  • Your full legal name
  • Complete mailing address
  • Email address
  • Phone number
  • Date of birth
  • The statement: "I am requesting one free entry into the Sweetgrass Giveaway. I confirm I am 18+ years old and a legal U.S. resident."

Important: Email must be sent from the email address you want associated with your entry. Automated, bulk, or third-party entries are prohibited and will be disqualified.

Each properly formatted email will receive one (1) entry into the Giveaway. Limit one (1) free entry per person and per household for the entire Giveaway Period. Multiple entries from the same person or household will result in disqualification of all entries from that person/household.

4. PRIZE DETAILS

One (1) Grand Prize will be awarded:

  • Winner receives a 1/8 (12.5%) ownership share in a luxury property located in 30A, Florida
  • Property specifications: 6 bedrooms, 6.5 bathrooms
  • Usage rights: 6 weeks per year (subject to scheduling and operating agreement)
  • Approximate Retail Value (ARV) of prize: $625,000 USD (estimated value subject to market conditions)
  • Property is currently in pre-construction phase. Construction will begin once all ownership shares are sold
  • Ownership share will be held through a legal entity (e.g., Sweetgrass 30A LLC), and winner will become a member subject to that entity's operating agreement

Important: This is a pre-construction property. All images shown are architectural renderings and the final property may differ from these renderings. Winner will receive ownership documents upon winning but will not have access to the physical property until construction is completed. Construction will begin once all ownership shares are sold. Construction timeline is subject to change due to permits, weather, or other factors beyond Sponsor's control.

Value Disclaimer: The $625,000 valuation is an estimate based on current market projections and is not guaranteed. The actual value of the prize may vary significantly based on market conditions, location, and other factors at the time of completion and beyond. Real estate values can go up or down. Winner is responsible for all federal, state, and local taxes. Prize cannot be transferred, substituted, or redeemed for cash.

5. WINNER SELECTION

One (1) winner will be selected in a random drawing from all eligible entries received during the Giveaway Period. The drawing will be conducted within thirty (30) days after the end of the Giveaway Period. The odds of winning depend on the total number of eligible entries received.

6. WINNER NOTIFICATION

Potential winner will be notified by email and/or phone within five (5) business days of the drawing. Potential winner must respond within seventy-two (72) hours of initial notification attempt or prize may be forfeited and an alternate winner selected. Winner may be required to complete and return an Affidavit of Eligibility, Liability Release, and where lawful, a Publicity Release within seven (7) days of notification.

7. OWNERSHIP TRANSFER

Upon verification of eligibility, winner will be required to complete all necessary legal documentation for the transfer of the 1/8 ownership share, including but not limited to partnership agreements, operating agreements, and any required regulatory filings. Winner must complete all documentation within sixty (60) days of verification or prize may be forfeited. Winner acknowledges that this is a pre-construction property and physical access will not be available until construction is completed. Construction will commence once all ownership shares are sold.

8. GENERAL CONDITIONS

Sponsor reserves the right to cancel, suspend, and/or modify the Giveaway if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Giveaway, as determined by Sponsor in its sole discretion.

By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Giveaway.

Sponsor makes no guarantees regarding the future value, marketability, or liquidity of the ownership share. The $625,000 estimated value is not guaranteed and may be higher or lower based on market conditions. Real estate values can fluctuate and past performance does not guarantee future results. The property is in pre-construction phase and all representations are based on architectural plans which may change.

9. LIMITATIONS OF LIABILITY

By entering, participants release and hold harmless Sponsor and its affiliates, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees, and agents from any claim or cause of action arising out of participation in the Giveaway or receipt or use of any prize.

10. PRIVACY

Information collected from entrants is subject to Sponsor's Privacy Policy. By entering the Giveaway, entrants consent to the collection, use, and disclosure of their personal information as described in these Official Rules and Sponsor's Privacy Policy.

11. DISPUTES

This Giveaway is governed by the laws of Texas, without respect to conflict of law doctrines. As a condition of participating in this Giveaway, participant agrees that any and all disputes shall be resolved individually, without resort to any form of class action, and exclusively by the state and federal courts located in Dallas County, Texas.

12. TAX OBLIGATIONS

WINNER IS SOLELY RESPONSIBLE FOR ALL APPLICABLE FEDERAL, STATE, AND LOCAL TAXES. Winner will receive an IRS Form 1099 for the ARV of the prize. Winner may be required to provide Sponsor with a valid social security number or tax identification number before prize is awarded. Failure to provide required tax documentation within 30 days of request will result in forfeiture of prize.

13. PUBLICITY RIGHTS

Except where prohibited by law, participation in the Giveaway constitutes winner's consent to Sponsor's use of winner's name, likeness, photograph, voice, opinions, and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

14. DISQUALIFICATION

Sponsor reserves the right to disqualify any individual who tampers with the entry process, violates these Official Rules, or acts in an unsportsmanlike or disruptive manner. Use of automated entry devices or programs is prohibited. Multiple entries using different email addresses or identities will result in disqualification.

16. WINNER'S LIST
